1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the Componentia platform ("Services"). By creating an account, submitting an inquiry, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

2. Description of Services

Componentia provides a sourcing platform that connects clients with verified manufacturing networks for custom parts. Services include inquiry submission, supplier sourcing, quotation management, quality assurance coordination, and global delivery logistics. We act as an intermediary and sourcing agent; we are not the manufacturer of the parts.

3. User Accounts

To submit inquiries and access the Client Portal, you must create an account and provide accurate, complete information. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 18 years old and have the authority to bind your company to these Terms.

4. Quotations and Pricing

Quotations provided through the platform are estimates based on the specifications you submit and supplier availability. Prices, lead times, and availability may change. A quotation is only binding once you accept it and we confirm the order. Componentia applies a margin to supplier costs; the final offer price is the price you pay.

5. Orders and Production

Once you accept a quotation, your order enters production through the assigned supplier. You are responsible for the accuracy of the specifications, drawings, and files you provide. Changes after production has started may incur additional costs. We will communicate milestones and provide quality-check evidence where applicable.

6. Quality and Acceptance

Parts are inspected before shipment. If parts do not conform to the agreed specifications, you must notify us within 7 days of delivery. We will work with the supplier to remedy defects through rework, replacement, or refund at our discretion. Custom parts manufactured to your specifications are non-refundable except for conformity defects.

7. Payment

Payment terms are specified in your accepted quotation. Unless otherwise agreed, payment is due before production begins. You are responsible for any taxes, duties, or import charges applicable to your delivery country.

8. Intellectual Property

You retain all intellectual property rights in the designs, drawings, and specifications you submit. You grant Componentia and the assigned supplier a limited licence to use your files solely for the purpose of quoting and producing your order. Componentia retains all rights to the platform, branding, and proprietary processes.

9. Limitation of Liability

To the maximum extent permitted by law, Componentia shall not be liable for indirect, incidental, or consequential damages. Our total liability for any claim arising from the Services is limited to the value of the order in question. We are not liable for delays caused by suppliers, carriers, or events beyond our control.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
